Zephyr terms of service

1. About these terms

These Terms of Service (“Terms”) govern your use of Zephyr, the private client portal operated by Brookfield Solutions Group, LLC (“BSG,” “we,” “us”). By accessing or using Zephyr, you agree to these Terms. If you do not agree, do not use the portal.

2. Who may use Zephyr

Zephyr is invitation-only. You may use it solely if you have received an invitation from BSG, are at least 18 years old, and are authorized by your organization to access the information in the portal. BSG may revoke access at any time.

3. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately if you suspect unauthorized use. We may suspend or terminate accounts that appear to be compromised or misused.

4. Acceptable use

You agree not to:

• Use Zephyr for any unlawful, fraudulent, or harmful purpose.
• Attempt to access accounts, data, or systems you are not authorized to access.
• Interfere with the operation of the portal or introduce malicious code.
• Reverse engineer, scrape, or resell any part of Zephyr without our written permission.

5. Your content

You retain ownership of the documents, messages, and other material you upload to Zephyr (“Your Content”). You grant BSG a limited license to host, display, and process Your Content solely to operate the portal and deliver the services you’ve engaged us for. You are responsible for ensuring you have the rights to share anything you upload.

6. Confidentiality

Information exchanged through Zephyr is confidential and covered by the terms of your underlying engagement agreement with BSG. Where there is a conflict between these Terms and that agreement, the engagement agreement controls.

7. Service availability

We work to keep Zephyr available and reliable, but we do not guarantee uninterrupted access. We may modify, suspend, or discontinue features at any time. We will give reasonable notice of material changes where practical.

8. Third-party services

Zephyr integrates with third-party services (such as Clerk for authentication and Google Sign-In). Your use of those services is also subject to their own terms and policies. We are not responsible for third-party services.

9. Disclaimer of warranties

Zephyr is provided “as is” and “as available.” To the maximum extent permitted by law, BSG disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, BSG’s total liability arising out of or relating to these Terms or your use of Zephyr will not exceed the fees you have paid to BSG in the twelve (12) months before the event giving rise to the claim. BSG will not be liable for indirect, incidental, special, consequential, or punitive damages.

11. Termination

Either party may terminate access to Zephyr upon written notice. BSG may suspend or terminate access immediately if you violate these Terms or if required for security or legal reasons. Sections that by their nature should survive termination (including 5, 6, 9, 10, and 12) will survive.

12. Governing law

These Terms are governed by the laws of the state where BSG is headquartered, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in that jurisdiction, and you consent to their jurisdiction and venue.

13. Changes to these terms

We may update these Terms from time to time. Material changes will be announced through the portal or by email. Continued use after changes take effect constitutes acceptance.
